Welcome to DesiWeds.

DesiWeds is a planning-first platform designed to help modern South Asian couples
navigate the emotional, cultural, logistical, and operational complexity of wedding planning
with more clarity, structure, and confidence.

These Terms of Use (“Terms”) govern your access to and use of DesiWeds, including our
website, planning tools, resources, communications, educational materials, vendor
introductions, concierge services, memberships, and related services (collectively, the
“Services”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do
not agree, do not use the Services.

Who We Serve

DesiWeds exists to support couples, families, and wedding professionals navigating South
Asian weddings and culturally complex celebrations.
Our Services may include:

  • Planning education and guidance
  • Wedding planning tools and templates
  • Vendor recommendations and introductions
  • Concierge or advisory support
  • Digital resources and planning systems
  • Community content and communications
  • Paid memberships or premium experiences
  • DesiWeds is not a law firm, financial advisor, therapist, or licensed wedding vendor unless explicitly stated otherwise.

Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements
to use the Services.

If you are using the Services on behalf of a company or organization, you represent that you
have authority to bind that entity to these Terms.

Accounts & Security

You may be required to create an account to access portions of the Services.
You agree to:

  • Provide accurate and current information
  • Keep your login credentials secure
  • Notify us promptly of unauthorized account access
  • Accept responsibility for activity occurring under your account
  • We reserve the right to suspend or terminate accounts that violate these Terms.

Nature of the Services

DesiWeds provides planning support, educational guidance, operational frameworks, and
curated vendor introductions.
We are not a party to contracts entered into between users and third-party vendors unless
explicitly stated in writing.
While we may curate, recommend, or introduce vendors, users remain responsible for:

  • Conducting their own diligence
  • Reviewing contracts carefully
  • Confirming pricing and availability
  • Making final hiring decisions
  • Vendor performance, service quality, scheduling, and execution remain the responsibility of the applicable vendor.

Non-Circumvention & Off-Platform Conduct

Because DesiWeds invests significant time, expertise, proprietary methodology, and
operational resources into planning guidance and vendor relationships, users agree not to
circumvent the platform.

You agree that you will not:

  • Use DesiWeds introductions, planning systems, resources, or vendor access to avoid fees owed to DesiWeds
  • Move transactions off-platform for the purpose of avoiding payments, commissions, subscriptions, or service fees
  • Solicit vendors introduced through DesiWeds outside the platform in a manner intended to bypass DesiWeds
  • Encourage vendors or other users to bypass DesiWeds
  • Share proprietary vendor lists, planning systems, workflows, timelines, pricing structures, or planning materials with third parties
  • Use DesiWeds resources commercially without written authorization If we determine, in our sole discretion, that you intentionally circumvented DesiWeds or attempted to avoid applicable fees or obligations, we may:
  • Suspend or terminate your account
  • Restrict access to Services
  • Recover unpaid fees or damages with a minimum fee of $1000 (one thousand US Dollars)
  • Seek injunctive relief
  • Pursue reimbursement of reasonable legal fees and enforcement costs where permitted by law
  • These obligations survive termination of your account or relationship with DesiWeds.

Proprietary Planning Systems & Intellectual Property

DesiWeds is built upon proprietary planning methodologies, frameworks, educational
systems, operational workflows, cultural guidance strategies, templates, tools, content, and
processes developed through years of experience.
All content and materials made available through the Services — including but not limited to:

  • Planning frameworks
  • Checklists
  • Timelines
  • Templates
  • Guides
  • Branding
  • Written content
  • Graphics
  • Educational materials
  • Vendor systems
  • Workflow structures
  • Software and platform functionality are owned by DesiWeds or licensed to us and are protected by intellectual property laws.
  • Subject to these Terms, DesiWeds grants you a limited, revocable, non-transferable, nonexclusive license for personal, non-commercial use only. You may not:
  • Copy, reproduce, republish, or distribute our materials
  • Sell, sublicense, or commercially exploit our content
  • Share paid resources outside your household or planning team
  • Train AI systems or datasets using our materials
  • Reverse engineer or replicate our planning methodologies
  • Create competing services using DesiWeds materials or systems Unauthorized use may result in legalaction.

Confidentiality & Sharing Restrictions

Certain materials, vendor relationships, pricing information, workflows, and planning
resources provided through DesiWeds may be confidential or proprietary.

You agree not to disclose, distribute, or share confidential information obtained through the
Services without prior written consent.

This includes:

  • Internal planning materials
  • Custom timelines
  • Vendor pricing
  • Strategic planning documents
  • Advisory recommendations
  • Concierge processes
  • Platform resources intended only for paying members

User Conduct

You agree not to:

  • Use the Services unlawfully
  • Harass, abuse, threaten, or discriminate against others
  • Scrape, harvest, or extract platform data
  • Upload malicious code or interfere with platform operations
  • Misrepresent your identity
  • Use the Services to compete with DesiWeds
  • Interfere with the experience of other users
  • Submit false, defamatory, or misleading content
  • We reserve the right to remove content or terminate accounts at our discretion.

User Content

You retain ownership of content you submit to the Services.
By submitting content, you grant DesiWeds a non-exclusive, worldwide, royalty-free license
to use, display, reproduce, modify, and distribute such content in connection with operating
and promoting the Services.

You represent that:

  • You own or have rights to the content you submit
  • Your content does not violate the rights of others
  • Your content is accurate to the best of your knowledge
  • We may remove content that violates these Terms.

Payments, Memberships & Refunds

Certain Services may require payment.

By purchasing paid Services, you agree to:

  • Pay all applicable fees
  • Maintain valid payment information
  • Authorize us to charge your payment method Unless otherwise stated:
  • Payments are non-refundable
  • Memberships renew automatically unless canceled before renewal
  • Missed payments may result in suspension or termination of Services
  • Users may cancel memberships or subscriptions through their account settings or by contacting DesiWeds at contact@desiweds.com prior to the applicable renewal date.
  • DesiWeds may change pricing or offerings at any time with reasonable notice.

Communications & TCPA Consent

By using the Services, you consent to receive communications from DesiWeds electronically,
including by email.

These communications may include:

  • Account notifications
  • Planning reminders
  • Operational updates
  • Service announcements
  • Marketing communications
  • By providing your phone number and affirmatively opting in, you consent to receive text messages from DesiWeds relating to your account, planning activities, appointments, reminders, operational updates, and, where separately authorized, marketing or promotional communications.
  • Your consent to receive marketing text messages is not a condition of purchase.
  • Message and data rates may apply.
  • You may opt out of marketing text messages at any time by replying STOP to any message or contacting us at contact@desiweds.com .
  • You may opt out of marketing emails at any time via the unsubscribe link included in each message.
  • Even if you opt out of marketing communications, we may still send important transactional or operational messages necessary to provide the Services.
  • You represent that you are the authorized user of any phone number provided to DesiWeds and agree to promptly update your contact information if your number changes.

Third-Party Vendors & Services

The Services may include links, recommendations, introductions, or integrations involving
third parties.

DesiWeds does not control third-party vendors and is not responsible for:

  • Vendor conduct
  • Contract disputes
  • Product quality
  • Scheduling failures
  • Financial losses
  • Vendor cancellations
  • Third-party website content
  • Users assume all risk associated with third-party engagements.

Professional Guidance & Independent Decision-Making

DesiWeds provides experienced professional planning guidance informed by years of
operational wedding expertise, cultural fluency, and real-world event management
experience.

Our recommendations, educational materials, planning frameworks, timelines, etiquette
guidance, budgeting suggestions, logistical recommendations, cultural insights, vendor
suggestions, and strategic planning support are intended to help users make more
informed decisions throughout the wedding planning process.
However, all decisions relating to:

  • Budget allocation
  • Vendor selection
  • Cultural or family considerations
  • Scheduling
  • Guest management
  • Event execution
  • Financial commitments
  • Contract acceptance
  • Relationship or interpersonal matters remain solely the responsibility of the user.
  • DesiWeds does not act as a fiduciary, financial advisor, attorney, therapist, accountant, or licensed professional advisor unless expressly stated in writing.
  • While we strive to provide thoughtful and experienced guidance, users acknowledge that wedding planning involves subjective preferences, family dynamics, emotional considerations, financial tradeoffs, and circumstances outside of DesiWeds’ control.
  • Users remain responsible for exercising independent judgment and making final decisions.

Force Majeure

DesiWeds shall not be liable for any delay, interruption, modification, diminished availability,
or failure in performance resulting from events beyond our reasonable control, including
but not limited to:

  • Natural disasters
  • Severe weather
  • Pandemicsorpublichealthemergencies
  • Government actions or restrictions
  • Labor disputes or strikes
  • Internet or technology failures
  • Venue closures
  • Transportation disruptions
  • Vendor cancellations
  • Utility outages
  • Civil unrest
  • Acts of God
  • Family emergencies or other extraordinary circumstances
  • In such circumstances, DesiWeds may modify, suspend, delay, or limit portions of the Services without liability.

Disclaimers

DesiWeds provides planning support, education, structure, guidance, and operational
assistance.

We do not guarantee:

  • Specific wedding outcomes
  • Vendor performance
  • Family cooperation
  • Budget outcomes
  • Emotional outcomes
  • Stress-free experiences
  • Availability of vendors or venues
  • Uninterrupted platform access
  • The Services are provided “as is” and “as available.”
  • To the maximum extent permitted by law, DesiWeds disclaims all warranties, express or implied.
  • DesiWeds does not provide legal, financial, tax, mental health, therapeutic, immigration, or relationship counseling services.

Limitation of Liability

To the fullest extent permitted by law, DesiWeds and its affiliates, officers, employees,
contractors, and representatives shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Lost profits
  • Emotional distress
  • Wedding disruptions
  • Vendor disputes
  • Data loss
  • Business interruption
  • Special or punitive damages
  • Our total liability arising out of or related to the Services shall not exceed the greater of:
  • The amount you paid DesiWeds in the 12 months preceding the claim;
  • $501 USD
  • Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless DesiWeds and its affiliates, employees,
contractors, and representatives from claims, damages, losses, liabilities, and expenses
arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your interactions with vendors or other users
  • Your submitted content
  • Your violation of applicable laws or third-party rights

Suspension & Termination

We reserve the right to suspend or terminate access to the Services at any time for violations
of these Terms or conduct we believe harms the platform, our users, or our business.
Termination may include removal of content, cancellation of memberships, and restriction of
future access.

Certain provisions of these Terms survive termination, including:

  • Intellectual property protections
  • Non-circumvention obligations
  • Confidentiality obligations
  • Liability limitations
  • Indemnification obligations
  • Dispute resolution provisions

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law
principles.
Any disputes not subject to arbitration shall be resolved in the courts located in Texas.

Arbitration & Class Action Waiver

Any dispute arising from or relating to these Terms or the Services shall be resolved through
binding arbitration administered by the American Arbitration Association (“AAA”) under its
applicable arbitration rules.

Arbitration may occur remotely or in a mutually agreed location in Texas.
You waive any right to participate in class actions, class arbitrations, or representative
proceedings.

Before initiating arbitration, both parties agree to attempt good-faith informal resolution.
Notwithstanding the foregoing, DesiWeds may seek temporary, preliminary, or injunctive
relief in a court of competent jurisdiction for matters involving:

  • Intellectual property infringement
  • Unauthorized use of proprietary materials
  • Confidentiality breaches
  • Circumvention of the Services
  • Scraping, copying, or competitive misuse of the platform

Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the
remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any additional policies expressly
incorporated by reference, constitute the entire agreement between you and DesiWeds
regarding the Services and supersede all prior or contemporaneous understandings,
communications, and agreements.

Privacy, Cookies & Data Rights

Your use of the Services is also governed by our Privacy Policy and any applicable Cookie
Policy.
Depending on your jurisdiction, including California, you may have rights relating to access,
correction, deletion, or limitation of certain personal information.
Information regarding how we collect, use, retain, and delete personal information —
including requests related to account deletion or applicable privacy rights — is described in
our Privacy Policy.
Following account termination, DesiWeds may retain certain information as reasonably
necessary for:

  • Legal compliance
  • Fraud prevention
  • Dispute resolution
  • Enforcement of agreements
  • Internal business operations

Waiver

Failure by DesiWeds to enforce any provision of these Terms shall not constitute a waiver of
our right to later enforce that or any other provision.

Changes to These Terms

We may update these Terms periodically.
When we do, we will update the effective date above. Continued use of the Services after
changes become effective constitutes acceptance of the revised Terms.
